Terms of service
Effective: October 6, 2026
These terms are the agreement between you and Flatland Labs, Inc., a Delaware corporation (“we”, “us”), for flatland desk, your flatland account and its plan. The last section covers flatland’s hosted API, for anyone who uses it with an API key.
The agreement
By creating an account, starting a trial, subscribing or using flatland desk, you agree to these terms. If you don’t agree, don’t use flatland. If you accept them for an organization, you confirm that you can bind it, and “you” means that organization.
The privacy page explains what we collect, why, and which services process it.
The service
flatland desk is a Windows application for building financial models. It installs with a bundled engine that runs on your computer: opening, editing, solving and exporting a model to Excel need neither an account nor an internet connection.
The agent is the AI in flatland desk. It needs an internet connection and a signed-in account with an active plan. When you use it, your model’s structure and values and your conversation are sent through flatland to AI providers to generate proposals; the privacy page names them. Nothing the agent proposes becomes part of your model until you accept it.
Your account on flatlandfi.com holds your plan, your billing through Stripe, the computers signed in to it and the installer download. flatland’s hosted engine is optional; the privacy page’s data statement says what happens to a model sent to it.
Your account
Access is by invitation during early access. Sign in with the email address your invitation was sent to.
flatland is for businesses, and for professionals acting in a business capacity. You must be 18 or older and able to form a binding contract. flatland is offered initially to customers in the United States. You may not use flatland if US sanctions or export laws bar you from receiving it.
One account is for one person or one organization. Anyone who can read your sign-in email can sign in, so keep it secure. Your account page lists the computers signed in to your account, and you can revoke any of them. You’re responsible for what happens under your account, including what agents and tools you direct do with it.
The plan, its price and renewal
There is one plan, flatland. It costs $149 a month or $1,490 a year, in US dollars. It includes unlimited models, scenarios and Excel workbooks, and AI work for the agent, described below.
Prices don’t include taxes. We don’t currently collect sales tax. You’re responsible for any sales, use, value-added (VAT) or similar taxes that apply to your purchase, other than taxes on our income. Where the law requires us to collect a tax, we may begin collecting it, and we’ll tell you before we do.
Your plan renews automatically until you cancel, at the plan’s price when it renews. A monthly plan renews every month and an annual plan every year. At the start of each new period, Stripe charges the card on file the plan’s price for that period. About 7 days before an annual plan renews, we email you a reminder.
You pay through Stripe Checkout. You manage your card, see your invoices and cancel, online and at any time, in the Stripe Customer Portal, which opens from your account page.
If a renewal payment fails, your plan keeps working for 7 days after the period ends, so you can update your card. After that the plan becomes inactive until a payment goes through.
If we change the price, we’ll email you at least 30 days before your first renewal at the new price, and you can cancel before then.
The free trial
A new account can start one 14-day free trial. A card is required to start it.
Nothing is charged during the trial. When it ends, 14 days after it starts, Stripe charges your card the price of the plan you chose, $149 for monthly or $1,490 for annual, and the plan renews from then on, unless you cancel before the trial ends. If you cancel during the trial, nothing is charged. Your account page shows the day your trial ends, and about 7 days before it ends, we email you a reminder.
An account gets one trial. An account that has already had one is charged when it subscribes. During a trial, the agent’s AI allowance covers the whole trial rather than a month.
Canceling, and what stays yours
You can cancel online at any time from your account page, in the Stripe Customer Portal. Cancellation takes effect at the end of the period you’ve paid for: your plan keeps working until then, and you aren’t charged again.
When your plan ends:
- Your model files stay on your computer. They’re yours, and they stay readable.
- flatland desk keeps opening, editing, solving and exporting them with its bundled engine, on the computers where it’s installed.
- The agent stops, and so do installer downloads and flatland’s hosted engine.
- Your account stays, so you can subscribe again. To delete it, write to info@flatlandfi.com.
Deleting your account doesn’t delete your models: they’re files on your computer, and flatland never stores them.
Refunds
Fees are non-refundable, and there are no refunds or credits for a partial period, except in the cases below. When you cancel, your plan keeps working until the end of the period you’ve paid for, and then stops.
- The first time your account buys an annual plan, you can ask for a full refund of that payment within 14 days of it. The plan ends when the refund is made.
- Where the law requires a refund, we give one.
To ask for a refund, write to info@flatlandfi.com.
AI work and fair use
Your plan includes an allowance of AI work for the agent, measured by what the agent’s requests cost. It has a daily limit and a limit for each month of your plan, counted from the day the plan started; during a trial, the second limit covers the whole trial. Your account page shows how much of it is used.
When either limit is reached, the agent pauses until that limit resets: the daily limit at midnight UTC, the monthly limit at the start of your plan’s next month. A trial’s limit covers the whole trial and doesn’t reset during it. Your model and the changes you accepted are kept, and solving, editing and exporting continue.
The allowance isn’t unlimited, and it isn’t a number of messages: how far it goes depends on your model and what you ask. Unused AI work doesn’t carry over, and extra AI work isn’t for sale.
The agent is for building and maintaining your own models. Don’t use it for anything else, or try to get around its limits. To protect the service, we may pause the agent for everyone for a time; solving, editing and exporting continue while it’s paused.
Acceptable use
You agree not to:
- Copy, sell, rent, sublicense or redistribute flatland desk, or share your account or the installer with anyone outside your organization.
- Use flatland to build a competing product, or probe, benchmark or analyze the service, its responses or its error messages to reconstruct how it works.
- Get around the AI allowance, rate limits, sign-in or any other limit.
- Overload, disrupt or attack the service, or send it malicious content.
- Use flatland for anything unlawful, or to infringe anyone’s rights.
If you, or an agent or tool acting for you, breaks these terms, including because someone else instructed it to, we may suspend or end your access. Where it’s practical, we give reasonable notice first, unless we need to act at once for security, legal or abuse reasons. Your model files stay on your computer either way.
Your models and our software
Your models are yours: the files, their assumptions, formulas and values, and what you build with the agent. We claim no ownership of them, and flatland never stores them.
You give us a limited license to process what you send to the agent or the hosted engine, solely to provide the service to you, as the privacy page describes.
flatland desk is licensed, not sold. While your plan is active, Flatland Labs, Inc. grants you a limited, non-exclusive, non-transferable license to install and use it on computers you control, for your own or your organization’s work. When your plan ends, you may keep using the copies already installed to open, edit, solve and export your models, without the agent, downloads or new versions.
You may not reverse engineer, decompile or disassemble flatland desk, its engine or the service, or try to derive their source code or methods, except where the law allows it despite this term.
Flatland Labs, Inc. keeps all rights in flatland desk, its engine, the website and the service, except the rights these terms give you. Some components of flatland desk are open source and come with their own licenses.
No advice, and no guarantee
flatland is a modeling tool. It doesn’t give financial, investment, tax, accounting or legal advice. Its results, and what the agent proposes, aren’t advice of any of those kinds.
flatland checks the arithmetic, not the inputs: a model is only as right as its assumptions. Its results aren’t an audit, a review or an assurance of any kind, and nobody at flatland checks your model. The agent can be wrong. Review what it proposes before you accept it, and have qualified people review results before you rely on them.
To the extent the law allows, flatland is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that it will be uninterrupted or free of errors. Some jurisdictions don’t allow implied warranties to be excluded, so some of these exclusions may not apply to you.
Limits on liability
To the extent the law allows, Flatland Labs, Inc. isn’t liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from flatland or these terms.
To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
Some jurisdictions don’t allow certain damages to be excluded or limited, so some of these limits may not apply to you. Nothing in these terms limits a liability that the law doesn’t allow to be limited.
Changes
We may change flatland and these terms. For a material change to the terms, we’ll tell account holders at least 30 days before it takes effect, by email or with a notice in flatland, and the effective date above shows the current version. If you keep using flatland after a change takes effect, you accept the new terms; if you don’t agree, cancel before then.
Ending these terms
You can stop using flatland and ask us to close your account at any time.
We may suspend or end your access if you breach these terms, if a payment isn’t made, or if we stop offering flatland.
If we stop offering the paid flatland plan, we’ll tell you at least 30 days before, and refund, pro rata, the fees you prepaid for any part of your period after it stops.
When these terms end, any payment you owe stays due, and any right either of us already has continues. So do the sections on your models and our software, no advice and no guarantee, limits on liability, and governing law and disputes.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Any dispute arising from or relating to these terms or flatland goes to the state and federal courts located in Miami-Dade County, Florida, which have exclusive jurisdiction and venue. You and we each consent to those courts’ jurisdiction. Disputes aren’t decided by arbitration.
The hosted API
This section applies only if you use flatland’s hosted API with an API key: the HTTP API at api.flatlandfi.com, which your own AI agent calls directly or through the flatland-client MCP bridge on your computer. It isn’t part of the flatland plan. The eligibility rules in “Your account”, and the sections above on acceptable use, your models, no advice and no guarantee, limits on liability, changes, ending these terms, and governing law and disputes, apply to it too; the sections on the plan, the trial, cancellation, refunds and AI work don’t.
Using the hosted API isn’t charged at present. Its answers are counted, and no card is needed. If that changes, we’ll email key holders at least 30 days before anything is charged.
Keep your API key confidential: don’t publish it, commit it to version control or share it outside your organization. You’re responsible for activity under your key. If you think it has been exposed, write to info@flatlandfi.com.
The hosted API has rate limits. If your access ends, your API key is revoked.
